1. Acceptance of Terms

By accessing or using InvitePass ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Service Description

InvitePass is a digital loyalty wallet that enables customers to collect, manage, and redeem loyalty points and stamps from local businesses. The Service includes:

  • A digital wallet for storing loyalty points and stamp cards
  • QR code scanning for earning and redeeming points
  • Point transfers between users
  • Merchant tools for creating and managing loyalty programs
  • Universal Points conversion (future feature)

3. User Accounts

Accounts are created using email-based one-time password (OTP) authentication. Each email address may be associated with only one account. You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

  • Use the Service for fraudulent purposes or to abuse loyalty programs
  • Attempt to earn, redeem, or transfer points through unauthorized means
  • Scrape, crawl, or use automated tools to access the Service
  • Impersonate another person or entity
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service in violation of any applicable law or regulation

5. Intellectual Property

The InvitePass name, logo, brand assets, and all software comprising the Service are the property of InvitePass and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without prior written consent.

6. User Content

Merchants may upload content such as business logos and program descriptions. By uploading content, you grant InvitePass a non-exclusive, worldwide license to display that content within the Service for the purpose of operating your loyalty programs. You retain ownership of your content and are responsible for ensuring you have the right to use it.

7. Third-Party Services

The Service relies on the following third-party providers:

  • Supabase: Database, authentication, and storage infrastructure
  • Apple App Store & Google Play: App distribution
  • Vercel: Website hosting

Your use of the Service is also subject to the terms and policies of these third-party providers.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

  • The continuity of any merchant loyalty program
  • The availability of specific rewards
  • Uninterrupted or error-free operation of the Service

Loyalty points and stamps have no cash value and cannot be exchanged for currency. Points are subject to the rules set by each merchant.

9. Limitation of Liability

To the maximum extent permitted by law, InvitePass shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of points, loss of data, loss of profits, or business interruption, arising out of or related to your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless InvitePass, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or violation of these Terms.

11. Termination

Either party may terminate this agreement at any time. You may delete your account through the app, which permanently removes all your data. We reserve the right to suspend or terminate accounts that violate these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which InvitePass operates, without regard to conflict of law provisions.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
